墨比爾斯：少碰阿里巴巴IPO為妙

有「新興市場教父」之稱的知名基金經理人墨比爾斯說，18日將在紐約證交所首次公開發行股票（IPO）交易的阿里巴巴公司結構，將使股東處於「危險的情況」。

墨比爾斯警告，阿里巴巴的公司結構將使股東對管理幾乎毫無影響力，萬一公司發生問題將難以行使法律追訴權。

其他分析師也已對阿里巴巴的結構提出兩方面的質疑，第一是公司合夥人控制董事會的組成，股東沒有多大發言權。其次是阿里巴巴以「可變利益實體」（VIE）上市，以規避中國嚴格的外國投資規定，此種複雜的所有權結構意味投資人對公司採取法律行動時會遭遇問題。

墨比爾斯說：「你必須上中國法院，這可能很困難，甚至不可能。創辦人掌控公司主要資產，如果出了問題，你束手無策。」

阿里巴巴的公司結構曾在與香港證交所初步洽談上市時遭拒絕，原因是對股東保護的顧慮，阿里巴巴轉而向紐約證交所申請首次公開發行股票（IPO），並獲通過。

阿里巴巴獨霸中國電子商務市場的優勢吸引眾多投資人，但墨比爾斯不為所動，並建議投資人對阿里巴巴的IPO保持審慎。
