【大紀元2013年08月15日訊】對於一些富可敵國並在一些市場佔有壓倒性地位的企業，國家級別的反競爭監管是唯一有效可以保障市場保持競爭的最後依賴。在一般人的常識之中，微軟（Microsoft）是電腦入門平台的霸主，歐美兩地在過去十年針對微軟的訴訟自然是經典的參考案件。

由於對市場優勢地位（Market Dominance）的法例，香港的法例概念源於歐盟，本文集中介紹歐盟的訴訟過程，其中最重要是在94年對微軟的5億罰款及其後多次以億計歐元的重罰，迫令微軟要改變其視窗軟件的營銷。在當時而言，是歐盟反競爭罰款有史以來最高數額。

在1998年，昇陽電腦（Sun Microsystems，主要產品是工作站、伺服器和UNIX作業系統）投訴視窗NT（Windows NT）不公開一些接口（interfaces）以讓其他軟件運作。在調查的過程之中歐盟同時檢視了視窗如何結合串流媒體技術的各方面，初步的結論是要求提供一套沒有視窗媒體播放器（Media Player）的視窗軟件或是公開所有令到其他軟件提供者能自由與微軟視窗在枱面電腦與伺服器自由互動所需的資料。

在2004年中歐盟下令微軟支付4億9千7百萬歐元的罰款（相當於7億9千4百萬美元），並需在120天內公開有關的伺服器資料，及在90天內生產出一套沒有媒體播放器的視窗軟件。

這筆罰款微軟如數支付，但批評歐盟的做法是創新法律，而這新的法例標準對已經擁有優勢市場佔有的企業的再創造動力是一種打擊。

支付了罰款之後微軟還是延誤及不公開提供所有資料，微軟公開了源碼（source code），但沒有詳細的規格資料（specifications），出版了一套改變了名稱的視窗XPN。微軟同時就裁決進行了上訴，這時歐盟更換了一名新的競爭委員會主席，她的立場是十分支持公開標準（open standard）及開放源代碼（open source）。歐盟用了一個星期聆訊微軟的上訴。

微軟的上訴是指歐盟在04年的裁決不清楚而微軟的責任如何亦因時間而改變。競委會主席不接受微軟的論據，指一切都十分清楚，驚訝微軟這類大公司居然說不明白歐盟競委會希望他們做甚麼事情以改善競爭。

在2006年中，歐盟再對微軟罰款2億8千萬（等於美金4億4千8百萬），並警告若微軟再不服從並依照歐盟的指示改善競爭，將會每天罰款3百萬歐元（481萬美元），微軟對競委會決定的上訴在07年9月失敗，需支付所有罰款及80%的律師費用。微軟放棄了再上訴。

2008年2月，歐盟再罰款8億9千9百萬歐元（14億4千4百萬美元），當時來說是歐盟50年以來最大的反競爭罰款。後來因為計算的問題，減低了4億，又在2013年罰了微軟5億6千1百萬歐元以阻止微軟與其他公司私下作解決紛爭的協議。

香港將來的競爭法例亦有類似的安排，競委會本身可對違法的企業施加一千萬的罰款，而審裁處則可施加企業營業額10%的罰款上限。由微軟這類大案中我們可以看到大額的罰款是唯一有效迫使企業特別是跨國大企業停止反競爭行為最有效，也可說是唯一有效的措施。◇
